Welcome to Redacto.io. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and VertexTech Labs Private Limited (“Redacto,” “we,” “us,” or “our”), governing your access to and use of our website, platform, products, services, and related applications (collectively, the “Services”).
By accessing, browsing, registering, or using any part of the Services, you agree that you have read, understood, and are bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference. If you are entering into this agreement on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms or do not have the authority to bind your organization, you must not access or use the Services.
These Terms may be updated from time to time, and your continued use of the Services following any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms regularly to stay informed of your rights and obligations.
For the purposes of these Terms, the following terms shall have the meanings set forth below:
“Account” means the registered profile created by or for the User or Customer to access and use the Services.
“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
“Authorized User” means any individual who is authorized by the Customer to access and use the Services on its behalf, subject to these Terms.
“Content” means any data, documents, text, images, messages, reports, or materials uploaded, submitted, generated, or otherwise made available by you or Redacto through the Services.
“Customer” means the individual or legal entity that has entered into a subscription, order form, or service agreement with Redacto for access to the Services.
“Documentation” means all manuals, help files, onboarding materials, API documentation, specifications, and user guides provided by Redacto relating to the use and functionality of the Services.
“Effective Date” means the date on which you first access or use the Services, or the date on which you accepted these Terms whichever occurs earlier.
“Feedback” means any suggestion, idea, enhancement request, recommendation, or other feedback related to the Services that is provided by you to Redacto.
“Fees” means all amounts payable by the Customer for use of the Services, as specified in an order form, invoice, or subscription plan.
“Intellectual Property Rights” means all intellectual property and proprietary rights, including but not limited to copyrights, trademarks, service marks, trade secrets, patents, know-how, design rights, and database rights.
“Personal Data” means any information that relates to an identified or identifiable natural person, as defined under applicable data protection laws, including the DPDP Act, 2023 (India) and the GDPR (EU).
“Platform” means the Redacto proprietary software, technology, web interface, APIs, mobile applications, and modules that comprise the Services.
“Privacy Policy” means the Redacto Privacy Policy, which explains how personal data is collected, used, and protected, and which is incorporated by reference into these Terms.
“Services” means the Redacto platform, website, tools, APIs, software, and all related features, support, and services provided by Redacto, whether on a free or paid basis.
“Subscription Term” means the duration of the Customer’s subscription to the Services, as set forth in an order form, invoice, or service agreement.
“Terms” means these Terms and Conditions, including all referenced policies, annexes, and amendments.
“Third-Party Services” means any third-party tools, websites, applications, or integrations that may be linked to or accessed through the Services.
“User” means any individual who accesses or uses the Services, whether directly or through an Account created by a Customer.
“You” / “Your” means the Customer, Authorized User, or any person using the Services under these Terms, including individuals acting on behalf of an organization.
To access and use the Services, you must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher. By using the Services, you represent and warrant that you meet this requirement and have the full legal capacity to enter into binding agreements.
If you are accessing the Services on behalf of a company, organization, or other legal entity, you represent that you are duly authorized to bind that entity to these Terms, and that both you and the entity will comply with all applicable laws and regulations while using the Services.
Users are responsible for maintaining the confidentiality of their account credentials, including usernames and passwords, and for all activities that occur under their account. You agree to provide accurate, current, and complete information when creating an account and to keep your account information updated at all times. Redacto is not liable for any loss or damage arising from your failure to secure your account or keep your information accurate.
Redacto reserves the right to suspend or terminate your access to the Services if we have reason to believe that any information provided by you is false, misleading, or violates applicable law or these Terms.
Subject to your compliance with these Terms, Redacto grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes during the applicable Subscription Term or authorized usage period.
You may access and use the Services only in accordance with applicable law, these Terms, and any documentation provided by Redacto. All rights not expressly granted under these Terms are reserved by Redacto and its licensors.
You shall not, and shall not permit any third party to:
Violation of this section may result in immediate suspension or termination of your access to the Services, without notice, and may subject you to legal action.
You may upload, submit, or publish content to the Services, including but not limited to text, documents, images, or other materials (“User Content”). By submitting User Content, you grant Redacto a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, distribute, modify, display, and perform such content solely for the purpose of providing, improving, promoting, or operating the Services. This license remains in effect for as long as your content remains on the platform.
You represent and warrant that:
Redacto reserves the right, but not the obligation, to monitor, review, or remove any User Content at any time, at its sole discretion, for any reason, including violation of these Terms or applicable law. You are solely responsible for creating backup copies of your User Content. Redacto is not liable for any loss of User Content for any reason. You agree to indemnify and hold harmless Redacto, its affiliates, and personnel from any claims or liabilities arising out of your User Content, including any violation of third-party rights or applicable law.
You agree to use the Services solely for lawful purposes and in full compliance with these Terms and all applicable local, national, and international laws. You are responsible for ensuring that your use of the Services does not interfere with the normal operation, integrity, or security of Redacto’s platform or the rights of others. You must not attempt to gain unauthorized access to any portion of the Services, or to any other systems or networks connected to Redacto’s infrastructure. This includes, but is not limited to, attempting to bypass authentication mechanisms, security controls, or account restrictions.
You are prohibited from introducing or transmitting any malware, viruses, worms, trojans, or other malicious code through the Services. Additionally, you may not use the Services in any way that may damage, disable, overburden, or impair our servers or network, or interfere with any other party’s use of the platform. You may not use the Services to transmit, store, publish, or share content that is unlawful, defamatory, obscene, abusive, invasive of privacy, infringing on intellectual property rights, or otherwise objectionable. Similarly, you may not impersonate any individual or entity, or misrepresent your affiliation with a person or organization while using the Services.
Automated data scraping, crawling, or harvesting of any part of the Services without prior written authorization from Redacto is strictly prohibited. You may not use the Services for any unauthorized commercial purposes, such as resale, sublicensing, or white-label distribution, unless explicitly permitted in writing by Redacto. Redacto reserves the right to monitor use of the Services and to suspend or terminate access in the event of a suspected violation of this section. We may also report unlawful conduct to relevant authorities where appropriate and take any other legal action deemed necessary to protect our systems and users.
Your use of the Services is subject to Redacto’s Privacy Policy, which explains how we collect, use, store, and disclose personal data. By accessing or using the Services, you acknowledge that you have read and understood the Privacy Policy and agree to the handling of your personal data as described therein. Redacto may collect certain personal data as part of operating and improving the Services, including data submitted by users, technical and usage information, and data obtained from third parties in accordance with applicable laws. All such data will be processed in accordance with the Privacy Policy, applicable contractual agreements, and relevant data protection laws, including the Digital Personal Data Protection Act, 2023 (India) and the General Data Protection Regulation (GDPR) (EU), where applicable.
Users are responsible for ensuring that they have the appropriate legal basis (including consent, if required) for submitting personal data through the Services. Where Redacto processes personal data on behalf of a customer, it acts as a data processor and handles such data strictly in accordance with the customer’s instructions and applicable data protection agreements.

Access to certain features or tiers of the Services may be subject to the payment of fees, as specified in an applicable order form, subscription plan, or service agreement between you and Redacto. All fees are payable in the currency and on the terms specified at the time of purchase or agreement. You agree to pay all fees in full and on time, including any applicable taxes, duties, or government charges, except for taxes based solely on Redacto’s income.
Unless otherwise specified in writing:
Redacto reserves the right to suspend or restrict access to the Services if timely payment is not received. You are responsible for maintaining accurate billing and contact information at all times. If payments are made through a third-party provider (e.g., Stripe, Razorpay), your use of such provider is subject to their terms and conditions. In cases of failed payments or prolonged non-payment, Redacto may seek reimbursement for reasonable costs incurred in pursuing collection.
Redacto will make commercially reasonable efforts to ensure that the Services are available and functional 24 hours a day, 7 days a week, excluding scheduled maintenance, emergency maintenance, and downtime caused by factors beyond Redacto’s control, such as internet outages, third-party service disruptions, or force majeure events. For customers under a paid subscription, Redacto may offer service level targets, response commitments, or priority support as outlined in the applicable service agreement or subscription plan. Any formal service level guarantees or remedies shall apply only if explicitly agreed upon in writing.
Support for technical issues, access difficulties, and general platform usage may be provided through available support channels and is subject to the customer’s plan tier and region. Support hours and coverage may vary. Redacto does not warrant that the Services will be entirely error-free or uninterrupted. The Services are provided on an “as is” and “as available” basis. Redacto reserves the right to modify, suspend, or discontinue parts of the Services, provided such changes do not materially degrade the core functionality under an active agreement.
The Services may include links to, or integrations with, third-party websites, tools, platforms, and content (“Third-Party Services”). These are provided solely for your convenience. Redacto does not operate or control any such third-party services and disclaims any responsibility or liability for their availability, content, security, or data practices. Your access to or use of any Third-Party Services is governed by their respective terms and policies, and such use is at your own risk. Redacto does not endorse, sponsor, or assume any responsibility for third-party content or services accessed through the platform. This Website may contain links to external websites or applications operated by third parties. While we may, at our discretion, consider requests to remove links to third-party content that you find offensive or inappropriate, we are under no obligation to do so or to respond directly to such requests.
You may not link to the Redacto website in a manner that misrepresents your relationship with us or suggests any form of endorsement, sponsorship, or partnership. We reserve the right to request that you remove any link to our Website at any time, and you agree to promptly comply with such a request. Organizations such as search engines, government agencies, news organizations, and online directories may link to our Website without prior written approval. Other parties such as educational institutions, trade associations, and commercial directories must obtain prior written consent before linking. Such linking rights do not imply any endorsement or relationship unless expressly stated by Redacto. You must not use Redacto’s trademarks, logos, or design elements in any links without entering into a valid trademark license agreement. All unauthorized uses are strictly prohibited.
All rights, title, and interest in and to the Services including all software, technology, algorithms, features, content, visual interfaces, trademarks, logos, and documentation are and shall remain the exclusive property of VertexTech Labs Private Limited (Redacto) and its licensors. The Services are protected by intellectual property laws, including copyright, trademark, trade secret, and other applicable laws in India and internationally.
You are granted only a limited right to access and use the Services in accordance with these Terms. No part of the Services may be copied, reproduced, distributed, modified, reverse engineered, decompiled, or otherwise exploited without our prior written consent, except as explicitly permitted under these Terms. Nothing in these Terms grants you any right, title, or interest in Redacto’s trademarks, brand elements, software, or other proprietary materials, unless expressly authorized by Redacto under a separate license agreement. You retain all ownership rights in any User Content you upload or submit to the Services. However, by submitting such content, you grant Redacto a limited license to use that content as necessary to operate and provide the Services, as described in the User Content section above. Redacto reserves all rights not expressly granted in these Terms.
Each party (“Recipient”) agrees to maintain the confidentiality of all non-public, proprietary, or sensitive information (“Confidential Information”) disclosed by the other party (“Discloser”) in connection with the use or provision of the Services. This includes information disclosed verbally, in writing, electronically, or through access to systems or environments.
Confidential Information includes, but is not limited to: source code, algorithms, trade secrets, technical data, product plans, security information, business strategies, customer data, financial information, and any other information that is either marked as confidential or that a reasonable person would understand to be confidential under the circumstances.

You agree to indemnify, defend, and hold harmless VertexTech Labs Private Limited (Redacto), along with its affiliates, officers, directors, employees, contractors, and agents, from and against any and all claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services. This includes claims resulting from your breach of these Terms, your violation of applicable laws or regulations, your User Content, or any third-party claims alleging that your conduct or content infringes intellectual property, privacy, or other rights. You will be responsible for any resulting costs, damages, or settlements associated with such claims.
Redacto reserves the right, at its own expense, to assume the exclusive defense and control of any matter that would otherwise be subject to indemnification by you. In such cases, you agree to fully cooperate with Redacto in asserting any available defenses.
Where applicable, and subject to a separate enterprise agreement, Redacto may agree to indemnify a Customer against third-party claims alleging that the Services infringe valid intellectual property rights, provided such indemnity is expressly stated in the applicable agreement and subject to the conditions and limitations therein.
The Services, including the Redacto website, platform, features, and content, are provided on an “as is” and “as available” basis without warranties of any kind. To the fullest extent permitted by law, Redacto disclaims all express, implied, statutory, or other warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or any guarantee that the Services will meet your specific requirements or expectations.
Redacto does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any content, information, or results obtained from the use of the Services will be accurate or reliable. You acknowledge that any reliance on such content or results is at your sole risk. Redacto reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
To the maximum extent permitted by applicable law, Redacto and its affiliates, directors, officers, employees, and contractors shall not be liable for any damages or losses of any kind, whether direct or indirect, including but not limited to incidental, consequential, special, exemplary, or punitive damages. This includes, without limitation, loss of data, loss of business opportunities, business interruption, personal injury, or reputational harm, regardless of the cause of action or legal theory under which the claim arises.
Redacto shall not be responsible for any delay, disruption, malfunction, or failure caused by factors beyond its reasonable control, including third-party service interruptions, internet failures, force majeure events, or user negligence. Additionally, Redacto is not liable for any conduct or behavior of users or third parties using the Services. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, Redacto’s liability will be limited to the extent permitted by applicable law.
These Terms shall remain in effect for as long as you access or use the Services provided by Redacto. If you have created an account, the Terms remain in force until such account is properly terminated. You may terminate your use of the Services at any time by following the account termination instructions available in your user settings. Alternatively, you may submit a written request for account closure by contacting our Data Protection Officer at dpo@Redacto.io Termination of your account does not relieve you of any obligations incurred prior to the termination date, including any outstanding payments.
Redacto reserves the right, in its sole discretion and without prior notice or liability, to suspend, restrict, or terminate your access to the Services including by blocking specific IP addresses, if we determine that you have violated these Terms, applicable laws or regulations, or any warranties or representations contained herein. Redacto may also take such action if your use of the Services poses a risk to system security, impacts other users, or disrupts the normal functioning of the platform. If your account is terminated or suspended under this section, Redacto may delete any or all content or data associated with your account without obligation to retain or restore such data. It is your responsibility to back up any data you wish to preserve prior to account termination.
Following termination, you are prohibited from registering or creating a new account under your own name, a false identity, or on behalf of any third party. Redacto reserves the right to pursue any legal remedies it deems appropriate including civil, criminal, or injunctive relief against individuals who violate these Terms or attempt to bypass account restrictions. Any provisions of these Terms that, by their nature, should survive termination, including but not limited to confidentiality, intellectual property, disclaimers, indemnification, and limitation of liability shall remain in full force and effect.
These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which Redacto operates, without regard to its conflict of law provisions. In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Services, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations. If the parties are unable to reach a resolution within thirty (30) days, the dispute shall be submitted to binding arbitration in accordance with the rules and procedures applicable in the relevant jurisdiction.
The language of the arbitration proceedings shall be English, and each party shall bear its own costs unless otherwise determined by the arbitrator. Nothing in this clause shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction, where necessary. Subject to the arbitration provision above, the courts in the jurisdiction where Redacto is headquartered shall have non-exclusive jurisdiction over any disputes not resolved through arbitration.
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without the prior written consent of Redacto. Any attempted assignment or transfer in violation of this provision shall be null and void. Redacto may freely assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
Entire Agreement: These Terms, along with our Privacy Policy and any applicable supplemental agreements or written service contracts, constitute the entire agreement between you and Redacto regarding the Services and supersede all prior or contemporaneous communications, understandings, and agreements (whether oral or written) relating to the subject matter hereof.
Severability: If any provision of these Terms is determined to be unlawful, void, or unenforceable under any applicable law, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions. Such provision shall be modified or interpreted to fulfill its intended purpose to the maximum extent permitted by law.
Waiver: The failure of Redacto to enforce any provision of these Terms shall not be deemed a waiver of such provision or of the right to enforce it in the future. Any waiver must be in writing to be legally binding.
Force Majeure: Redacto shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, internet or telecommunications failures, labor disputes, cyberattacks, or governmental actions.
Notices: All legal notices to Redacto must be sent through the official communication channels provided on the platform. You are responsible for ensuring that your contact information is current and accurate.
Variation of Terms: Redacto reserves the right to revise or modify these Terms at any time at its sole discretion. By continuing to use the Services, you agree to review the Terms periodically and to be bound by any changes. Your continued use of the Services after the posting of modifications constitutes your acceptance of the revised Terms.
Third-Party Rights: A person or entity who is not a party to these Terms shall have no right to enforce any of its provisions. These Terms do not confer any third-party beneficiary rights.
Export Control: You agree to comply with all applicable export and sanctions laws and regulations. You may not use or access the Services if you are located in a country subject to government embargoes or are listed on any prohibited or restricted parties list.
Trademark Usage: Use of Redacto’s trademarks, logos, or branding is strictly prohibited without express written permission. All intellectual property rights in and to Redacto’s brand assets remain the sole property of VertexTech Labs Private Limited and its licensors.
